Exchangeable Auction Rate Preferred Stock

An auction rate preferred stock that is exchangeable at the issuer's option for auction rate notes on any dividend payment date. The purpose of this form is to permit the issuer to replace the preferred dividend which is paid from after-tax earnings with tax deductible interest when the issuer's income becomes taxable.
