Interest Rate Reset Notes

Interest on these notes is reset several years after issuance to the greater of the initial rate or a rate sufficient to give the notes a market value greater than the face amount. The reset provision is designed to offer the buyer of a long-term debt instrument some protection from loss of principal due to rising interest rates or a decline in the issuer's debt rating.
