Cash Or Titles Option (COTO)

A convertible instrument issued in Switzerland that let investors avoid the dividend withholding tax and let corporations raise capital. COTOs typically had an expiration date up to 12 months in the future and gave the holder the right to receive a cash dividend or exchange the COTO for new shares at a fixed price. COTOs ran into Swiss government opposition as a tax avoidance device.
