Letter Stock

(1) Common or preferred stock sold subject to an investment letter from the purchaser who agrees not to sell it in the open market until a future date when the company promises to register it for public sale or when the restriction on sale expires through the passage of time. These shares may be bought and sold by sophisticated investors before they are registered, but they usually trade at a discount to fully registered shares. (2) See Target Stock.
